- “Escape Agency” refers to the marketing and development agency providing services under these Terms.
- “Client” refers to the entity or individual engaging Escape Agency’s services.
- “Services” refer to the marketing and development services provided by Escape Agency.
3. Scope of Services
Escape Agency agrees to provide marketing and development services to the Client as outlined in the project proposal or agreement. Specific details, timelines, and deliverables will be defined in a separate statement of work (SOW) or project agreement.
4. Fees and Payment
4.1 Payment Terms: The Client agrees to pay Escape Agency according to the terms outlined in the project proposal or agreement. Payments are due on the agreed-upon dates.
4.2 Late Payments: Late payments may result in additional fees or a suspension of services until the outstanding balance is settled.
5. Intellectual Property
5.1 Ownership: The Client retains all intellectual property rights to their pre-existing materials and data. Escape Agency retains intellectual property rights to its pre-existing materials, tools, and methodologies. Any work developed during the engagement shall be owned by the Client upon full payment.
5.2 License: Escape Agency grants the Client a non-exclusive, worldwide, royalty-free license to use the deliverables created during the engagement for their intended purpose.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement.
7. Termination
7.1 Termination by Client: The Client may terminate the engagement in writing, subject to any fees or costs outlined in the project agreement.
7.2 Termination by Escape Agency: Escape Agency may terminate the engagement if the Client breaches these Terms or the project agreement.
8. Liability and Indemnification
Escape Agency shall not be liable for any damages, including consequential, indirect, or incidental damages. The Client agrees to indemnify and hold Escape Agency harmless from any claims arising from the use of the services.
9. Dispute Resolution
Any disputes arising from these Terms or the engagement will be resolved through negotiation or mediation. If a resolution cannot be reached, the parties agree to arbitration in accordance with the rules of a recognized arbitration body.
10. Governing Law
These Terms and the engagement shall be governed by and construed in accordance with the laws of the Netherlands, excluding its conflict of law principles.
11. Modification of Terms
Escape Agency may modify these Terms at any time with notice to the Client. Continued use of our services after notification constitutes acceptance of the modified Terms.
12. Entire Agreement
These Terms, along with any project proposals or agreements, constitute the entire agreement between the parties and supersede any prior or contemporaneous agreements or understandings.
